At Witness Whereof, shippers and carriers executed this contract in two copies from the day and year described above. The carrier provides the services described in Section 2, in accordance with the express figure (letter of exposure on list) of this agreement. If the carrier fails to comply with a planned shipment from a shipper location, the carrier has twenty-four (twenty-four) hours of electronic or fax notification by the sender to remedy this failure. If the carrier does not resolve its non-performance within the permitted time frame, the carrier is not entitled to compensation for the failure of the transfer, and the carrier is liable to the shipper for the additional costs of alternative transportation and storage costs related to the failure. 6.7 In the event of non-compliance with this Agreement, which is not expressly stipulated in Sections 6.3 to 6.6, the non-offender party has the right to terminate the contract after thirty (30) days after prior written notification by recommended letter, confirmation of return to the aggrieved party, unless that violation is cured within 30 (30) days of notification. 12.3 The confidentiality obligations of the parties under this section 12 are maintained during and after the termination of the contract. This Contract is subject to Interpretation and is subject to the laws of the State of (sender of the name) and is subject to it. 7.2 Claims Date – Claims for alleged overcharging or underloading are filed with the appropriate party within one (1) year after the date of the carrier`s invoice. Claims for damages against the shipper arising from this agreement are filed within nine (9) months of the incident that gave rise to that right. The rights of one of the parties beyond that date are deemed null and void. 3.6 If, during the duration of the agreement, the shipper changes its position by adding a warehouse (the “new site”) to the list of exposures (list exposure letter), the sender may, initially, assign the new site to the carrier for a period of no more than six (6) months, at the service price calculated by the carrier on the same economic basis as the agreed rates. During this six-month period, the shipper will request price proposals for transportation and shipping services to and from the new site of forwarders and other external transportation providers.
At the end of this proposal procedure and at the sole discretion of the shipper, the shipper may assign the new local transportation services to a carrier deemed most appropriate by the shipper.
